Welcome to HeavenClip.

These Terms of Service (“Terms”) govern your access to and use of the HeavenClip website at https://heavenclip.com, our AI-powered video editing platform, and all associated features, tools, applications, and services (collectively, the “Services”).

“HeavenClip,” “we,” “our,” and “us” refer to HeavenClip. “You” and “your” refer to any individual or entity accessing or using our Services.

By accessing or using HeavenClip, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

If you use HeavenClip on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

You must be legally capable of entering into a binding agreement under the laws applicable to you to use our Services.

If you are below the age of legal majority in your jurisdiction, you may use HeavenClip only with the involvement and consent of a parent or legal guardian, where required by law. HeavenClip is not intended for children under 13.

By using our Services, you represent that you meet the applicable eligibility requirements.

HeavenClip provides AI-powered tools for creating and editing short-form videos. Depending on your plan and the features available at the time, these may include:

• AI-assisted video editing and editing recommendations.
• Automatic captions, transcription, and caption customization.
• Silence and filler-word removal, trimming, and speed adjustments.
• Motion graphics, text overlays, and animated elements.
• AI-generated images and visual assets.
• Background removal, smart cropping, and visual effects.
• AI-assisted scene analysis, editing suggestions, and automatic editing.
• Video previews, rendering, and exports.

Features, usage limits, supported formats, and availability may change as we improve the platform. Certain features may be restricted by your subscription plan, usage allowance, technical requirements, or geographic location.

We do not guarantee that every feature will always be available or that the Services will be uninterrupted or error-free.

Some features require you to create an account.

You agree to:

• Provide accurate and up-to-date account information.
• Keep your login credentials secure.
• Notify us promptly if you suspect unauthorized access to your account.
• Take responsibility for activity conducted through your account, except where applicable law provides otherwise.
• Use your account only for lawful purposes and in accordance with these Terms.

You must not sell, rent, transfer, or share account access in a way that violates your plan or our policies.

We may suspend or restrict accounts that appear compromised, fraudulent, abusive, or in violation of these Terms.

You may request account deletion through available account settings or by contacting us at support@heavenclip.com. Deleting your account may permanently remove associated projects, uploaded content, and account information, subject to applicable legal obligations and our Privacy Policy.

HeavenClip offers paid subscription plans. The features, export allowances, usage limits, prices, and billing periods applicable to a plan will be displayed on the relevant pricing or checkout page.

By purchasing a paid plan, you agree to pay the price and any applicable taxes disclosed during checkout.

We may introduce new plans, modify features, or change pricing prospectively. Any changes to an existing subscription will be handled in accordance with applicable law and any required notice or consent requirements.

You are responsible for reviewing your selected plan and its limitations before purchasing.

Subscription renewal

If your subscription is set to renew automatically, it will renew at the end of each billing period unless you cancel it before the renewal date, subject to the terms presented at checkout.

Cancellation

You may cancel your subscription using the cancellation method provided in your account or by contacting support. Unless stated otherwise at checkout or required by law, cancellation takes effect at the end of the current paid billing period.

Cancellation does not automatically entitle you to a refund for the unused portion of that period.

Refunds

Payments are generally non-refundable once a billing period or purchase has begun, except where a refund is required by applicable law or expressly provided under a refund policy or offer communicated by HeavenClip.

Nothing in these Terms limits any mandatory consumer rights you may have.

If you believe you have been charged incorrectly, contact support@heavenclip.com with the relevant payment details.

Payment processing

Payments may be processed by third-party payment providers, including Razorpay where applicable. Your payment may also be subject to the provider’s terms and policies.

We do not control the operation of third-party payment systems and are not responsible for interruptions caused by those providers. You agree to provide valid payment information and authorize applicable charges for the plan you select.

“Your Content” means the videos, images, audio, transcripts, text, prompts, brand assets, and other materials that you upload, import, provide, or create through HeavenClip.

You retain ownership of the content you upload. Subject to third-party rights and applicable law, you also retain whatever rights you have in the edited or exported videos you create using our Services.

You are responsible for ensuring that you have all necessary rights, permissions, licenses, and consents to upload, edit, process, publish, and distribute Your Content.

Limited license to operate the Services

To provide HeavenClip, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, and modify Your Content only as reasonably necessary to:

• Operate and provide the editing features you request.
• Generate captions, visual assets, recommendations, and edited videos.
• Render, export, and deliver your projects.
• Maintain security, prevent abuse, troubleshoot issues, and provide customer support.
• Comply with legal obligations.

This license exists only for the purposes described above and for as long as reasonably necessary to provide the Services, subject to our Privacy Policy and applicable law.

We do not acquire ownership of Your Content by providing the Services.

We will not use private uploaded videos or other private user content to train general-purpose AI models unless you expressly authorize that use or it is otherwise permitted by applicable law and our disclosed policies.

You are responsible for keeping your own backups of important original files and exported videos.

HeavenClip uses AI technologies to assist with video editing and content creation. Depending on the feature, AI may analyze video or audio, identify scenes, transcribe speech, suggest edits, generate visuals, create captions, or recommend where to place motion graphics.

AI-generated or AI-assisted outputs may be inaccurate, incomplete, unexpected, repetitive, or unsuitable for your intended purpose.

You acknowledge that:

• AI outputs may not always reflect your exact instructions.
• Similar outputs may be generated for different users.
• You should review generated captions, visuals, edits, and other outputs before publishing them.
• You are responsible for the final content you export, share, or distribute.
• You must not use AI outputs in a way that violates another person’s rights or applicable law.

We do not guarantee that AI-generated content is unique, factually accurate, free from third-party rights claims, or suitable for a particular commercial use.

Where third-party AI providers are involved, their processing and terms may also apply. Details about personal information and AI processing are described in our Privacy Policy.

You agree to use HeavenClip lawfully and responsibly.

You must not use the Services to:

• Infringe copyrights, trademarks, privacy rights, publicity rights, or other legal rights.
• Upload or distribute content that you do not have permission to use.
• Create or distribute unlawful, fraudulent, deceptive, defamatory, or unlawfully harmful material.
• Create non-consensual intimate imagery, exploitative content involving minors, or other prohibited abusive content.
• Impersonate another person or misrepresent the authenticity of content in a manner that violates applicable law.
• Harass, threaten, exploit, or deliberately harm others.
• Upload malicious software or attempt to compromise the security of our systems.
• Reverse engineer, decompile, or attempt to extract source code, models, or proprietary systems, except to the extent such restriction is prohibited by applicable law.
• Bypass usage limits, payment requirements, access controls, or technical restrictions.
• Use bots, scripts, or automated methods to abuse or disrupt the Services.
• Resell, sublicense, or commercially exploit access to the Services in a manner we have not authorized.
• Use the Services in violation of applicable laws or third-party platform rules.

We may investigate suspected violations and take proportionate action, including removing content where technically possible, restricting features, suspending accounts, or terminating access where justified.

The HeavenClip platform and its underlying software, interface, branding, logos, design elements, documentation, and proprietary technology are owned by or licensed to HeavenClip and are protected by applicable intellectual property laws.

Subject to these Terms and your applicable subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes.

Except as expressly permitted by law or by written authorization from us, you may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from our proprietary platform or technology.

Your use of HeavenClip does not transfer ownership of our intellectual property to you.

Third-party assets

Some features may make third-party fonts, templates, images, audio, software, or other assets available. Such assets may be subject to separate license terms or usage restrictions.

You are responsible for checking applicable licensing conditions before using an asset in commercial or public content.

If you provide suggestions, feature requests, or feedback about HeavenClip, you grant us permission to use that feedback to improve our Services without compensation to you, provided this does not override any rights you have under applicable law or any separate written agreement.

You are not required to provide feedback.

HeavenClip may integrate with or link to third-party services, including payment providers, AI technology providers, hosting providers, and other external tools.

These services may be governed by separate terms and privacy policies. We do not control all aspects of third-party services and cannot guarantee their availability, accuracy, or security.

Your use of third-party services is subject to the terms applicable to those services.

We may update, improve, suspend, or discontinue parts of HeavenClip as necessary for product development, security, maintenance, legal compliance, or business operations.

We will make reasonable efforts to maintain the Services, but we do not guarantee uninterrupted availability, compatibility with every device, or permanent availability of any particular feature.

Where required by applicable law, we will provide notice or other protections before making material changes that affect your rights.

We are not responsible for interruptions caused by circumstances beyond our reasonable control, including third-party outages, network failures, or events outside our control, subject to applicable law.

You may stop using HeavenClip at any time and cancel your subscription in accordance with these Terms.

We may suspend or terminate your access if:

• You materially breach these Terms.
• Your use creates a security risk or causes harm to the Services or other users.
• We reasonably suspect fraud, unlawful activity, or abuse.
• We are required to do so by law or a competent authority.
• We discontinue the Services, subject to applicable legal requirements.

Where reasonably practicable, we will provide notice and an opportunity to address a breach before termination, except where immediate action is necessary.

Upon termination, your right to use the Services ends. Provisions that by their nature should survive termination—including intellectual property, payment obligations already incurred, disclaimers, limitations of liability, and dispute-related terms—will continue to apply.

Content retention and deletion following account closure are governed by our Privacy Policy and applicable law.

To the fullest extent permitted by applicable law, HeavenClip is provided on an “as is” and “as available” basis.

We do not guarantee that:

• The Services will meet every user’s requirements.
• Every export will be error-free or completed without interruption.
• AI-generated results will be accurate, complete, original, or suitable for a particular purpose.
• The Services will always be available or compatible with your systems.
• All defects or technical issues will be corrected immediately.

You are responsible for reviewing exported content and determining whether it is appropriate for your intended use.

Nothing in these Terms excludes any warranty, consumer protection, or other right that cannot lawfully be excluded under applicable law.

To the fullest extent permitted by applicable law, HeavenClip will not be liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, business opportunities, goodwill, or data arising from your use of the Services.

To the fullest extent permitted by applicable law, our total aggregate liability for claims arising out of or relating to the Services or these Terms will not exceed the greater of:

1. The total amount you paid to HeavenClip for the Services during the 12 months preceding the event giving rise to the claim; or
2. USD $100, or its equivalent in the applicable currency.

This limitation does not apply to liability that cannot be excluded or limited under applicable law, including any mandatory consumer rights or other non-waivable legal protections.

Nothing in these Terms limits liability for fraud, intentional misconduct, or other matters where such limitation is prohibited by law.

To the extent permitted by applicable law, you agree to indemnify and hold HeavenClip harmless from third-party claims, losses, and reasonable expenses arising directly from your unlawful use of the Services, your material breach of these Terms, or your infringement of another person’s rights.

This section does not require you to indemnify us for losses caused by our own unlawful conduct or other matters for which such indemnification cannot legally be required.

Your use of HeavenClip is also governed by our Privacy Policy, which explains how we collect, use, process, store, and protect personal information.

By using the Services, you acknowledge that you have had the opportunity to review that policy.

We may update these Terms from time to time to reflect changes in our Services, business practices, or legal obligations.

When we make material changes, we will update the “Last Updated” date and provide additional notice where required by law.

The updated Terms will take effect on the date stated in the revised version or in the notice provided to you. Your continued use of the Services after the effective date is subject to the updated Terms, to the extent permitted by applicable law.

If you do not agree to a material change, you must stop using the affected Services and may cancel any applicable subscription in accordance with these Terms.

These Terms are governed by the laws of India, without regard to conflict-of-law principles, to the extent permitted by applicable law.

Any dispute arising out of or relating to these Terms will be handled by the competent courts of India, subject to mandatory consumer protection laws and any rights you may have to bring proceedings in another competent court.

We encourage you to contact us first so we can attempt to resolve any concern informally.

Entire agreement. These Terms and the policies expressly incorporated into them form the agreement between you and HeavenClip concerning the Services.

Severability. If any provision is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

No waiver. Our failure to enforce a provision does not constitute a waiver of our right to enforce it later.

Assignment. You may not transfer your rights or obligations under these Terms without our prior written consent, except where prohibited by law. We may transfer these Terms as part of a merger, reorganization, or sale of the relevant business, subject to applicable law.

Force majeure. We will not be responsible for delays or failures caused by events beyond our reasonable control, subject to applicable law.

No partnership. These Terms do not create a partnership, joint venture, employment, or agency relationship between you and HeavenClip.
